Determination of the Competition Authority
Determination No. M/03/044 of the Competition Authority, dated January 22,
2004, under Section 21 of the Competition Act, 2002
Notification No. M/03/044 – MMRJ Ltd/Denis Eagle Ltd
Introduction
1. On December 22, 2003 date the Competition Authority, in accordance with
Section 18 (1) of the Competition Act, 2002 (“the Act”) was notified, on a
mandatory basis, of a proposal whereby MMRJ Ltd, a company incorporated in
the United Kingdom, and controlled by funds managed by ABN AMRO Capital
Ltd (“ABN”), will acquire the shares of Denis Eagle Ltd from Vehicle Solutions
N.V.
The Parties
2. MMRJ is part of the ABN group, which is a worldwide provider of financial
services. It provides investment banking services to corporate clients, as well as a
range of financial services to private clients.
3. Dennis Eagle Ltd is a specialist vehicle provider, with most of its business
involving the supply of refuse collection vehicles (“RCV’s”) and ancillary
services to local authorities and private waste collectors. Its main operations are
based in France and the United Kingdom, and it exports RCV’s into the Irish
market.
Analysis
4. The ABN group controls no entities which operate in similar markets to Dennis
Eagle Ltd. Although Dennis Eagle has a high share of the total supply of RCV’s
in the State, there is no overlap in the parties’ activities, and accordingly the
transaction does not raise competition concerns.
Determination
The Competition Authority, in accordance with Section 21(2) of the Competition Act,
2002, has determined that, in its opinion, the result of the proposed acquisition will
not be to substantially lessen competition in markets for goods and services in the
State and, accordingly, that the acquisition may be put into effect.
