Introduction
1. On 18 November 2013, in accordance with secti on 18 of the
Competition Act 2002 (“the Act”), the Comp etition Authority (“the
Authority”) received a notification of a proposed acquisition whereby
Tennants Consolid ated Limited (“Tennants”), th rough its wholly owned
subsidiaries Synthite Limited (“Synthite”) and TS Resins Limited (“TS
Resins”), woul d acquire sole control of D ynea Ireland Limited (“Dynea
IRE”) and certain of the business and assets of Dynea UK Limited
(“Dynea UK”) (together “the Target”).

2. Tennants is a UK private limited company headquartered in London
and prima rily involved in the production a nd distribution of chemicals.
Tennants has chemical manu facturing facilities in several locations
including in Brazil, Canada, China, Italy, the UK and the USA. Its
distribution activities are centred primarily on the UK and continental
Europe but it also distributes to Canada.
3. Globally Tennants manufactures and/or distributes a wide variety of
chemicals including: resins, pigments, pigment dispersions,
formaldehyde and allied products, polyureth anes resins and additives
for inks and coatin gs, moulding powders, mining chemicals, aroma
chemicals (for use in fragrances), chemical specialties to the polymer
manufacturing and processing industry an d chemical s for use in the
cosmetics, food, pharmaceuti cal and industrial sectors. Tenn ants also
synthesizes organic compounds to research and development
companies in the pharmaceutical and bioscience industries.
