Competition and Consumer Protection Commission clears proposed acquisition by

BWG Group Unlimited through its wholly owned indirect subsidiary, Triode

Newhill Finance Limited, of the entire share capital of Keatings Newtown Limited

The Competition and Consumer Protection Commission has today cleared the proposed

transaction whereby BWG Group Unlimited through its wholly owned indirect subsidiary,

Triode Newhill Finance Limited, would acquire the entire share capital of Keatings Newtown

Limited

The proposed transaction was notified under the Competition Act 2002, as amended, on 18 June

2018.

The Commission has formed the view that the proposed transaction will not substantially lessen

competition in any market for goods or services in the State. The Commission will publish the

reasons for its determination on its website no later than 60 working days after the date of the

determination and after allowing the parties the opportunity to request that confidential

information be removed from the published version.

Additional Information

BWG is involved in the wholesale and retail supply of groceries and food products in the State

and also the United Kingdom. Within the State, BWG supplies groceries and food products to

its affiliated retailers through its national wholesale distribution centre located in Kilcarbery

Business Park, Nangor Road, Dublin 22. BWG also supplies groceries and food products to other

firms through its Value Centre and 4 Aces cash and carry wholesale stores. At the retail level,

BWG owns and operates, as franchisor, the SPAR, Eurospar, Spar Express, Londis and the XL &

Xpress brands. In addition, BWG holds the licence to operate the MACE brands in the State.

Newhill, a private limited company incorporated in the State, is a wholly-owned indirect

subsidiary of BWG.

Keatings Newtown Limited is a family owned company which owns a retail motor fuel service

station, comprising a motor fuel (road diesel (DERV) and petrol) forecourt operating under the

Texaco brand and an associated forecourt convenience store operating under the Londis Plus

brand, which is located at Newtown Road, Ballyvoloon, Cobh, Co. Cork.
