Competition and Consumer Protection Commission clears the proposed acquisition by

Gutenberg Investment S.à.r.l., a company wholly owned and controlled by funds

managed and/or advised by BC Partners LLP, of MMI Holding B.V.

The Competition and Consumer Protection Commission has today cleared the proposed transaction

whereby Gutenberg Inves tment S.à.r.l., a company wholly owned and controlled by funds managed

and/or advised by BC Partners LLP, would acquire sole control of MMI Holding B.V. and its subsidiaries.

The proposed transaction was notified under the Competition Act 2002, as amended, on 18 June 2025.

The Commission has formed the view that the proposed transaction will not substantially lessen

competition in any market for goods or services in the State. The Commission will publish the reasons

for its determination on its website no later than 60 working days after the date of the determination

and after allowing the parties the opportunity to request that confidential information be removed

from the published version.

BC Partners LLP is an international asset management firm based in the United Kingdom and engaged

in the provision of investment management advice to the general partners and managers of its

controlled funds. BC Partners LLP is active in the State through its portfolio companies which are active

in a range of sectors, including veterinary services, professional services, and the provision of ceramics

solutions for medical applications.

Gutenberg Investment S.à.r.l. is a private limited company registered in Luxembourg and is ultimately

wholly owned and controlled by BC Partners LLP.

MMI Holding B.V. is the holding entity for the IGS group of companies and is a private limited company

incorporated in the Netherlands and registered with the Dutch trade register. The IGS group of

companies (namely, MMI Holding B.V., IGS B.V., IGS International Inc., and IGS GeboJagema Peachtree
